Terms of Service

OrganicChat (“OrganicChat,” “we,” “us”) is operated by an individual sole proprietor based in California, United States. By creating an account, starting a trial, or otherwise using OrganicChat, you agree to these Terms of Service and our Privacy Policy. If you use OrganicChat on behalf of a business, you confirm you can bind that business to these terms, and “you” includes it.

You must be at least 18 years old to use OrganicChat.

OrganicChat is subscription software that automatically sends Instagram direct messages and comment replies on your behalf when people comment chosen keywords on your Instagram posts or reels, or send matching messages. It works through Meta’s official Instagram APIs and includes related features such as tracked links, follow-ups, an inbox, reports and team workspaces.

• You sign in with an email link. Keep access to that email secure; anyone who can open it can sign in as you.
• You are responsible for everything done through your account and workspace, including by team members you invite.
• Information you give us, such as your email, must be accurate.
• While OrganicChat is invite-only, sign-up may require an access code, which you must not share publicly.

OrganicChat is priced per connected Instagram account:

• Sprout: $24.99 per month, 1 connected instagram account.
• Forest: $44.99 per month, unlimited instagram accounts.

Trial. Each plan begins with a 7-day trial for $1, charged when you start it. Unless you cancel before the trial ends, your subscription renews automatically at the full monthly price of your plan, and then every month after that, until you cancel. The trial is limited to one per person or business.

Payment. Payments are processed by Stripe. By subscribing you authorize us to charge your payment method each billing period. Prices are in US dollars and exclude any applicable taxes, which we may add. If a payment fails, we may retry it and may pause sending until it succeeds.

Price changes. We may change prices. We will give you at least 30 days’ notice by email, and the new price applies from your next billing period after that notice. You can cancel before it takes effect.

You can cancel at any time from your billing settings. Cancelling stops future charges; you keep access until the end of the period you have already paid for (or the end of your trial). Charges already made, including the trial fee, are not refundable except where the law requires otherwise. See our Refund Policy.

You agree not to use OrganicChat to:

• connect Instagram accounts you don’t own or aren’t authorized to manage;
• send spam, deceptive, harassing, hateful, sexually explicit or otherwise unlawful messages;
• promote illegal products or services, scams, or anything that infringes someone else’s rights;
• collect personal data in ways that break privacy, consumer-protection or anti-spam laws;
• get around Instagram’s limits or rules, or interfere with, probe or overload our systems;
• resell or provide the service to others without our written permission.

You are responsible for the campaigns, keywords, messages and links you set up, and for complying with the laws that apply to them.

OrganicChat depends on Instagram and Meta, which we don’t control. You must follow Meta’s Platform Terms, Instagram’s Terms of Use and Community Guidelines. Meta may limit, change or withdraw API access, delay or skip notifications, rate-limit messages, or restrict your account; any of these can stop messages from being sent. We are not responsible for Meta’s actions, and they don’t entitle you to a refund. OrganicChat is not affiliated with or endorsed by Meta or Instagram.

You own the content you create in OrganicChat, such as message text, keywords and links. You give us permission to store, process and send it as needed to run the service for you. You confirm you have the rights needed for that content.

We own OrganicChat, its design and its branding. We give you a limited, non-transferable right to use the service during your subscription under these terms. Parts of the underlying software are based on open-source code used under its license (MIT); nothing in these terms limits your rights under that license. If you send us feedback, we may use it without obligation to you.

We work to keep OrganicChat reliable but don’t guarantee it will be uninterrupted, error-free, or that every eligible comment will receive a message. We may add, change or remove features over time. If we make a change that significantly reduces what your paid plan includes, you may cancel.

We may suspend or close your account, or pause campaigns, if you break these terms, if your use creates legal, security or platform risk, or if payment fails. Where reasonable we will tell you first. You may stop using OrganicChat and close your account at any time. Sections that by their nature should survive termination (including billing owed, disclaimers, limitation of liability, indemnity and governing law) do.

OrganicChat is provided “as is” and “as available.” To the extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We don’t promise any particular results, such as followers, clicks or sales.

To the extent the law allows, OrganicChat won’t be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill. Our total liability for any claim relating to the service is limited to the amount you paid us in the 3 months before the event giving rise to the claim. Some jurisdictions don’t allow these limits, so they may not fully apply to you.

You agree to cover any claims, losses and costs (including reasonable legal fees) that arise from your content, your campaigns, or your breach of these terms or of the law.

These terms are governed by the laws of the State of California, without regard to conflict-of-law rules. Before filing a claim, please contact us so we can try to resolve it informally. Any dispute that isn’t resolved will be decided by the state or federal courts located in California, and you and we consent to their jurisdiction. Either of us may bring an eligible claim in small claims court.

We may update these terms. If a change is material, we will tell you by email or in the app before it takes effect. Continuing to use OrganicChat after that means you accept the updated terms.
